BUSINESS LAW:
GENERALLY. Grassi & Toering, PLC handles a wide variety
of business law matters, primarily for closely-held businesses and
their owners. These include:
• Corporate formation (both C
and S corporation)
• LLC formation
• Mergers and acquisitions
• Shareholder agreements
• Buy-sell agreements
• Business succession planning
• Real estate transactions
Most wealth in America is held by
small business owners. Naturally, this leads to the need for proper
estate and tax planning for those families. We handle this, too. For
more information, please click on the Estate Planning button at our
home page.
Sebastian Grassi
handles the business transactional matters. Sebastian has practiced business law for over 25 years. An author of four books and over 105 articles on tax, business law, business succession planning and estate planning, Sebastian is listed in The Best Lawyers in America and in Michigan Super Lawyers. He has also served as an advisory board member of the Closely Held and Family Owned Business Institute for the Institute of Continuing Legal Education of the State Bar of Michigan, and spoke at the award winning First Annual Closely Held and Family Owned Business Institute.
BUSINESS DISPUTES. The
best way to avoid business disputes is by proper planning.
Occasionally, however, a dispute arises between business owners. This
may be the result of a simple, honest misunderstanding. But sometimes
it's more than that. Sometimes the problem results from greed,
incompetence, or dishonesty. Here are a few examples:
• Oppression of minority
shareholders ("freezeouts" or "squeezeouts")
• Misuse of trade secrets or other confidential information
• Breach of fiduciary duty by board members
We can help. We also handle other
kinds of business disputes, including:
• Breach of contract
• Tortious interference with contract
• Violation of non-compete agreements
Doug Toering litigates
all of these cases, and more. A former in-house counsel with General
Motors, Doug's business practice concentrates on disputes involving
automotive companies or closely-held businesses and on business
breakups and shareholder litigation. Doug currently serves as a member of the Michigan State Bar Business Council. Among other things, the Business Council advises the Michigan legislature on changes in business and corporate law.
